Welcome to RE Pro Ops (the "Platform"), operated by RE Pros Academy("Company," "we," "us," or "our"). By creating an account, accessing, or using the Platform in any manner, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

1. Eligibility & Account Registration

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are solely responsible for all activity that occurs under your account.

2. Description of Service

RE Pro Ops is a real estate transaction management platform that provides tools for managing transactions, contacts, properties, documents, checklists, commissions, marketing content, compliance tracking, team collaboration, automation workflows, AI-assisted content generation, and related operational features. The Platform is provided as a subscription-based software-as-a-service (SaaS) product. We reserve the right to modify, suspend, or discontinue any feature at any time without notice.

3. Intellectual Property Rights — Ownership

3.1 Platform Ownership

The Platform, including without limitation all software, source code, object code, user interface design, visual design, graphics, text, workflows, automation engine, AI and machine learning models, marketing generation tools, compliance system, checklists, templates, documentation, and all related materials (collectively, the "Platform Materials"), are the exclusive property of RE Pros Academyand are protected by United States and international copyright laws, trademark laws, trade dress laws, patent laws, and other applicable intellectual property and proprietary rights laws.

All trademarks, service marks, logos, trade names, and brand identifiers associated with the Platform, including "RE Pro Ops," "RE Pros Academy," and related marks, are trademarks of RE Pros Academy. Nothing in these Terms grants you any right, title, or interest in or to any of the foregoing except the limited license expressly set forth in Section 4.

3.2 Content You Submit

You retain ownership of any transaction data, contact information, documents, notes, and other content that you submit, upload, or create within the Platform ("User Content"). By submitting User Content, you grant RE Pros Academy a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit such content solely as necessary to operate and provide the Platform's features to you.

4. Limited License Grant

Subject to your compliance with these Terms and the continued payment of applicable subscription fees, RE Pros Academy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your own internal business operations during the term of your active subscription.

This license does not convey ownership of any kind. You may not transfer, assign, sublicense, sell, lease, lend, or otherwise distribute access to the Platform to any third party without the express prior written consent of RE Pros Academy.

5. Prohibited Uses & Restrictions

You agree that you shall not, and shall not permit any third party to:

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or non-public APIs of the Platform;
Scrape, crawl, index, or use automated tools (bots, spiders, scrapers) to extract data, content, or information from the Platform's interface, database, or backend systems;
Copy, replicate, clone, or reproduce any portion of the Platform's user interface (UI), user experience (UX) design, workflows, features, automation logic, or visual elements;
Build, develop, or distribute any product, service, or tool that competes with or is derived from the Platform, including any application that replicates the Platform's features, workflows, or design;
Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices displayed on or within the Platform;
Circumvent, disable, or interfere with any security, authentication, access control, rate limiting, or digital rights management features of the Platform;
Access or attempt to access areas of the Platform not intended for your use, including other users' data, internal systems, or non-public APIs;
Use the Platform for any unlawful purpose, or in any manner that could damage, disable, overburden, or impair the Platform's servers or networks;
Modify, adapt, translate, or create derivative works based on the Platform without express written authorization;
Use the AI-generated content produced by the Platform in any manner that violates applicable laws, third-party rights, or these Terms.

Any violation of this Section 5 will constitute a material breach of these Terms and may result in immediate termination of your account, subscription, and access to the Platform, in addition to any other legal remedies available to RE Pros Academy.

6. Subscription Fees & Billing

Access to the Platform requires an active paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. A 14-day free trial may be offered; upon trial expiration, billing will commence automatically. All fees are non-refundable except as required by law. We reserve the right to change our fees upon reasonable notice.

7. Acceptable Use & Professional Conduct

You agree to use the Platform in compliance with all applicable real estate laws, regulations, and licensing requirements, including but not limited to fair housing laws, data privacy regulations, and consumer protection laws. You are solely responsible for the accuracy and legality of all User Content and communications generated or transmitted through the Platform.

8. AI-Generated Content Disclaimer

The Platform includes AI-assisted tools that generate content such as emails, marketing copy, compliance summaries, and recommendations. AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, editing, and approving all AI-generated content before use. RE Pros Academy makes no warranty regarding the accuracy, completeness, or suitability of AI-generated output for any specific purpose.

9. No Professional Advice

The Platform provides operational and productivity tools, not legal, tax, accounting, or real estate brokerage advice. Nothing in the Platform constitutes professional advice. You should consult qualified professionals for guidance on specific legal, tax, or transactional matters.

10. Disclaimers & Limitation of Liability

10.1 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RE PROS ACADEMY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RE PROS ACADEMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF RE PROS ACADEMY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RE PROS ACADEMY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO RE PROS ACADEMY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless RE Pros Academy and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Platform, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

You may cancel your subscription at any time through the Platform settings. Upon cancellation, your access will continue until the end of the current billing period. RE Pros Academy may suspend or terminate your account immediately upon any breach of these Terms. Upon termination, your license to use the Platform ceases immediately. We may retain User Content for a reasonable period following termination, after which it may be deleted.

13. Privacy

Our handling of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you also consent to the practices described in our Privacy Policy.

14. Modifications to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms within the Platform or by email. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State in which RE Pros Academy is incorporated, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration, and you waive any right to participate in a class action lawsuit or class-wide arbitration.
